合伙目的：为了适应市场经济的发展，满足市场需求，按照《中华人民共和国合伙企业法》（以下简称“《合伙企业法》”规范企业行为，合伙人本着公平、平等、互利的原则，成立XXX（有限合伙）。经全体合伙人协商一致同意制订本合伙协议。

合伙债务先由合伙财产偿还，合伙财产不足清偿时，普通合伙人承相无限连带责任，有限合伙人以其认缴的出资为限对合伙企业债务承担责任。
