I. Definition

1.1 “商品”，指乙方基于本合同向甲方供应的所有商品。
1.2 “配送前置期”，指从甲方采购订单发出确认到乙方交货至收货地点的时间周期。
1.1 “Commodities” hereof refer to all goods Party B provides for Party A according to the Contract.
1.2 “Pre-distribution Period” refers to the time period from the point when Party A’s purchase order is placed and confirmed to the point when Party B delivers goods to the place of delivery.

二、供应商资格确认
II. Verification of Supplier’s Qualification

2.1 乙方应提供详细的资料证明其为合格的供应商、具备合法生产或者经营所需的全部证照文件。乙方可以参考本合同附件 一所列“供应商须提供资料目录”并有义务在附件一“供应商须提供资料目录”提示不全的情况下主动提供文件资料供 甲方审查建档。乙方提供的文件为复印件的，必须加盖乙方公章。
2.2 乙方应填写附件二“供应商联系详情”。
2.3 乙方提供的证照文件在本合同有效期内如有变更，应及时书面通知甲方并附有效文件。
2.1 Party B shall submit detailed information and all documents to prove itself as a qualified supplier and have all certificates for legal production or operation. Party B may refer to the List of Data that Supplier shall Provide as shown in Attachment 1 and is obliged to offer documents to Party A to review and put on record when the above List is incomplete. Copies of documents Party B provides shall be affixed with Party B’s official seal.
2.2 Party B shall fill in Attachment 2 Contact Information of Supplier.
2.3 Party A shall be informed of any changes in the Certificates and documents Party B provides within the validity hereof in writing immediately and attached with valid documents.

三、商品质量要求
III. Quality Requirements of Commodity

3.1 商品的质量要求包含内在质量、外观质量及包装质量，均应符合国家相关法律政策规定、国家标准、行业标准、生产企 业内部控制标准及甲方的进货验收标准，与商品说明书、实物样品标明的质量状况相符，具备安全、有效性。商品的原 料、辅料、添加剂、包装材料经检验或确认合格后方可使用，且必要时，乙方有义务提供相关检验报告或凭证。
3.1 Quality requirements include the quality of internals, appearance and package which shall conform to national laws, policies and regulations, national standards, industrial standards, internal control standards of producer and Party A’s acceptance standard for purchasing goods, be consistent with the quality as indicated in specifications and sample, and be safe and effective. Raw materials, accessories, additives and packing materials shall be used only after being tested or confirmed as qualified and when necessary, Party B is obliged to provide relevant inspection report or evidence.
