Other than the Owned Properties, the Company does not use or occupy any immovable property that is owned by any of the existing Shareholders. The Company has a valid and enforceable leasehold interest under each immovable property and interests in immovable property leased to the Company (the “Leased Immovable Properties” and, collectively with the Owned Properties and the Leased Immovable Properties, the “Properties”).

Each of the leases for the Leased Immovable Properties are in full force and effect, and the Company has not received or given any notice of any breach or default or event that with notice or lapse of time, or both, would constitute a breach or default by the Company under any of the leases for the Leased Immovable Properties and no other party is in default thereof, and no party to the leases for the Leased Immovable Properties has exercised any termination rights with respect thereto.
