5. Independent Contractor represents and warrants that:

a. with respect to the Airline, it has reviewed: the Services to be provided; flight schedules; duty hours; welfare provisions; vacation and leave policies; educational, certification and experience requirements; policies, standards and regulations; and other matters related to the engagement;

Restrictive Covenants

8. During the continuance of this Agreement and for a period of two years immediately following the expiration or termination of this Agreement, the Independent Contractor shall not, directly or indirectly, or as a director, officer, employee, agent, representative, consultant, investor, shareholder, partner, member, agent, co-venture, creditor, supplier, contractor, sub-contractor, independent contractor, sole proprietor, consultant or otherwise of any other person or entity:

a) solicit, encourage or assist any Personnel of XXX , the Airline, their subsidiaries or their affiliates to terminate his employment or other relationship with such entity; or apply for employment with, or to provide services for, any third party;

b) with respect to vendors and customers of XXX during the continuance of this Agreement, solicit or enter into any contract with such vendors or customers;

Remedies

21. Independent Contractor shall cause each of its agents, employees, independent contractors, members, managers, shareholders, directors, officers and other persons with access to Confidential Information or Intellectual Property to be expressly bound by the provisions of Paragraphs 13 through 20 (including subparagraphs) of this Agreement.
21． 独立承包人应要求获得权限使用保密信息或知识产权的所有代理、员工、独立承包人、成员、经理、股东、董事、官员及其它人员，明确表示遵守本协议第13条至第20条（包括副条款）规定。
22. Remedies. Independent Contractor acknowledges that no remedy at law for damages is adequate to compensate for a breach of Paragraphs 8 through 21 (including subparagraphs) of this Agreement, and that XXX shall be entitled to temporary and permanent injunctive relief against any such breach, without the necessity of proving actual damages. In addition to permanent or temporary injunctive relief, XXX shall be entitled to any other remedies at law or in equity to which XXX may be entitled as a result of any such breach and reasonable attorney fees and the costs of enforcing remedies for such breach.
22．补救措施。独立承包人确认，根据法律，对损坏的所有补救措施不足以补偿违反本协议第8条至第21条（包括副条款）的情况，XXX有限公司应有权在无需提供任何实质性赔偿金的前提下，实施临时性或永久性禁令性救济。此外，XXX有限公司应有权实施在法律上或衡平法上的任何其他补救措施，对此，XXX有限公司有权获得合理的律师费、以及执行违约补救措施产生的费用。
