Shanghai Electric Plans to Acquire a German Enterprise with EUR173.536 Million, Main Customers Thereof Including Airbus and Boeing.

(Yicai Global) Aug 15 —上海电气集团股份有限公司（601727.SH)8月14日晚间发布公告称，全资子公司上海电气香港有限公司将出资1.73536亿欧元收购德国TEC4AERO GmbH公司的100%股权，从而进入了航空工业自动化制造装备和系统市场。

(Yicai Global) Aug. 15–Shanghai Electric Group Co., Ltd. [SH: 601727] issued an announcement in the evening of August 14 that, its wholly-owned subsidiary Shanghai Electric Hong Kong Co., Ltd. will acquire the whole equity of TEC4AERO GmbH, a German company with EUR173.536 million, so as to enter the market of automatic manufacturing equipment and system of the aviation industry.

公告指出，标的公司TEC4AERO GmbH通过其全资子公司BA Beteiligungsgesellschaft mbH（以下简称BAB公司）持有Broetje-Automation GmbH（以下简称BAW公司）的100%股权。

The announcement points out that, the object TEC4AERO GmbH holds 100 percent of the equity of Broetje-Automation GmbH (BAW) through its wholly-owned subsidiary BA Beteiligungsgesellschaft mbH (BAB).

公告称，上海电气香港有限公司还同意购买一家独立第三方企业对BAB公司的1200万欧元债权（本金）及结余利息（按年利率5%计）。

The announcement also says that, Shanghai Electric Hong Kong Co., Ltd. also agrees to purchase the EUR12-million creditor’s right (principal) and interest on balances (calculated with the annual interest rate of 5 percent) of BAB held by an independent third-party enterprise.

公告介绍称，BAW公司是一家飞机制造设备和解决方案供应商，在航空工业领域的自动化装配设备和服务方面拥有悠久的历史和丰富的经验，业务覆盖飞机构件及相关部件的装配链，主要客户包括空客、波音等大型飞机制造商。在截至2015年9月底的财政年度实现销售收入1.436亿欧元。

The announcement introduces that, BAW is an aircraft manufacturing equipment and solution provider, bearing rich history and experience regarding the automatic assembly equipment and services in the aviation industrial field, of which the business covers aircraft components and the assembly chain for related units. Its main customers include large aircraft manufacturers like Airbus and Boeing, and the fiscal year by the end of September 2015 realized the sales revenue of EUR143.6 million.

公告还称，本次交易对手包括DBAG Fund V International GmbH & Co. KG、DBAG Fund V GmbH & Co. KG、DBAG Fund V Konzern GmbH & Co. KG、DBAG Fund V Co-Investor GmbH & Co. KG、Dürr International GmbH、ON THE TOP Beteiligungs GmbH & Co. KG等。
