15.1 Entire Agreement. This Agreement is the complete and exclusive agreement between the parties with respect to the subject matter hereof, superseding any prior or contemporaneous agreements and communications (both written and oral) regarding such subject matter.

15.1 协议的完整性。本协议系协议双方就相关事项达成的唯一完整协议，超越任何事先或在同一时期就所述事项达成的任何协议或信件内容（书面和口头方式）。

15.2 Notice. Any notice given under this Agreement shall be in writing and will be deemed to have been given if it is (a) delivered personally or (b) transmitted via confirmed facsimile or (c) sent by overnight mail via commercial carrier, fees prepaid as of the date of receipt to the addresses listed on the first page of this Agreement.

15.2通知。根据本协议做出的任何通知应以书面形式发布，如果（a）专人递送或（b）通过经确认的传真发送或（c）以预付费方式经商业快递公司递送，在送至本协议首页标示地址之日被视作送达。

15.3 Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, except for its conflicts of laws principles. The parties consent to the exclusive jurisdiction and venue in the state and federal courts in Santa Clara County, California.

15.3适用法律和仲裁地。本协议将适用并由美国加州法律解释，与法律原则有争议者除外。协议各方同意接受加州的专属管辖权、以加州圣克拉拉市的联邦法庭为仲裁地。

15.4 Severability. If any provision of this Agreement is found illegal, invalid or unenforceable, it will be enforced to the maximum extent permissible, and the legality and enforceability of the other provisions of this Agreement will not be affected.

15.4 条文可分割性。如果本协议任何条款被视作非法、无效或不可执行，该条款将被在法律允许的最大范围内予以执行，本协议其他条款的合法性和可执行性将不受影响。

15.5 Headings. The headings in this Agreement are for the convenience of reference only and have no legal effect.

15.6 No Third Party Beneficiaries. This Agreement is intended for the sole and exclusive benefit of the signatories and is not intended to benefit any third party. Only the parties to this Agreement may enforce it.
