For the purposes of giving this opinion we have assumed without further enquiry:

出于提供本法律意见的目的，在没有进一步调查的情况下，我们作如下假设：

• that all signatures, seals and chops are genuine, that all documents submitted to us as originals are authentic and complete and have not been amended, revoked or otherwise modified and that all documents submitted to us as copies or scanned copies are complete and conform to the originals and that such originals are themselves authentic;
• 所有签名和印章是真实的，以原件方式提交给我们的所有文件是真实和完整的，未经修改、撤销或以其他方式修改，以复印件或扫描复印件提交给我们的所有文件均为完整，与原件相符合，且原件本身是真实的；

• that all factual statements made in the Documents are correct and complete;

• that each party is duly incorporated and organized and validly existing under the laws of its jurisdiction of incorporation;
• 各方根据其注册管辖区的法律依法成立、组织并有效存在；

• that the execution of each of the agreements and contracts referred to herein and the terms and conditions therein fully reflect the genuine intention of all parties thereto, and no one is or will be seeking to achieve any purpose not apparent from the Documents which might render any of the Documents illegal or void;
• 此处提及的每一项协议和合同及其条款和条件的执行充分反映了所有各方的真正意图，没有任何人正在或将要达成文件中为指明的任何目的，从而使文件非法或无效；

• that each of the agreements and contracts referred to herein has been duly executed by the duly authorized signatories of each party thereto, and each party acts in good faith when executing such agreements and contracts to which it is a party;
• 此处提及的每一项协议和合同均经其各方正式授权的签署人妥为签立，各方作为缔约方在履行协议和合同时秉诚行事；

• that the contractual arrangements effected pursuant to the Documents are not capable of being voided by virtue of the existence of any duress, misrepresentation, fraud, illegality, undue influence or mistake of fact which relates to the Documents;
• 根据文件所作的合同安排，不得因文件的任何胁迫、虚假陈述、欺诈、非法、不正当的影响或事实性错误而无效；

• that the governmental authorities made available all files relevant to the Properties to us during the Searches;
• 在调查期间政府当局向我们提供了与地产相关的所有文件；

• that there has been no change from the date of the respective Documents which would affect this opinion;
• 自相关文件之日起不存在影响本意见的变更；

• that there has been no change of facts in relation to the Properties after the dates of the applicable Searches; and
• 在适用的调查日期之后，没有与地产相关的事实变化；并且，

• that there are no additional documents or files that would affect this opinion.
• 没有额外的文档或文件会影响本意见。

This legal opinion is confined to and given on the basis of and governed by the published and publicly available laws and administrative regulations of the PRC (solely for purposes of this opinion, excluding the laws of the Hong Kong Special Administrative Region and the Macau Special Administrative Region and Taiwan) effective as at the date hereof.  We do not guarantee that any change in such laws or in their interpretations after the date hereof will not affect any of the opinions expressed below.  We have not investigated, and we do not express or imply any opinion on, the laws of any other jurisdiction, and we have assumed that no other laws would affect the opinions expressed below in any aspect.

本法律意见受限于、基于且受管制于中华人民共和国公布的和公开可获得的在本法律意见生效之日起有效的法律和行政法规（仅出于本法律意见的目的，不包括香港特别行政区、澳门特别行政区和台湾的法律）。我们不保证在此日期之后，此类法律或其解释中的任何变动不会影响下列任何意见。任何其他司法管辖区的法律我们既没有调查也没有明示或暗示任何意见，我们假设任何其他法律都不会影响下列意见。
