All of the following private information exchanged by each Party (including Party A, Party B and Party C) shall be kept confidential, and be kept strictly confidential by each Party and its affiliate and representatives: information related to the matters hereunder, information related to the transaction, agreement in connection with the transaction, intellectual property and commercial and technical information hold by each Party and its affiliate from time to time (hereinafter referred to as “confidential information”, excluding the confidential information legally possessed by one Party and its affiliate and representatives before the Agreement comes into force). “Affiliate” refers to the direct or indirect subsidiary or subordinate of one Party, direct or indirect holding company or parent company of one Party, other direct or indirect subsidiary or subordinate of the said holding company or parent company (as the case may be).

如任何一方或其关联公司根据法律法规（包括上市规则）要求需要声明或披露这些保密信息，披露方在法律法规（包括上市规则）允许的情况下应在做出该声明或披露之前向另一方给予适当的通知，并且披露方应在要求的最小范围内声明或披露该等保密信息。
Should any Party or its affiliate need to represent or disclose the confidential information according to laws and regulations (including listing rules), the disclosing Party shall, to the extent permitted by the laws and regulations (including listing rules), issue a proper notice to the other Party before making the said representation or disclosure, and shall represent or disclose the said confidential information within the minimum scope as required.
